1. Acceptance of Terms

By accessing or using the Pathway Credit website (the "Site") and submitting a credit application through our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

Pathway Credit is operated by Ideasoft Inc., a Canadian corporation.

2. Description of Services

Pathway Credit operates an automotive credit referral platform that connects consumers with licensed automotive dealerships and lenders across Canada. Our services include:

• Credit Pre-Assessment: Evaluating your credit application and estimating your approval likelihood
• Dealer Matching: Routing your application to qualified dealer partners in your province
• Lead Distribution: Sharing your information with our network of automotive dealers and lenders

We are not a lender, credit broker, or financial institution. We do not make credit decisions, originate loans, or set interest rates. All credit decisions are made solely by our dealer partners and their lending partners.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age (or the age of majority in your province of residence)
• Be a legal resident of Canada
• Have a valid email address and phone number
• Provide accurate and complete information in your application

4. User Representations and Warranties

By submitting an application through our Site, you represent and warrant that:

• All information you provide is true, accurate, current, and complete
• You will not submit fraudulent or misleading applications
• You will not use our Site for any unlawful purpose
• You will not attempt to circumvent, disable, or interfere with the security features of our Site
• If you provide information about a co-applicant, you have obtained their express consent

5. Consent to be Contacted

By submitting your personal information through our Site, you expressly consent to being contacted by:

• Pathway Credit regarding your application status and available options
• Our dealer partners regarding vehicle financing opportunities, vehicle matching, and purchase options
• Our service providers who may contact you on our behalf

You acknowledge that contact may be made via telephone, email, text message (SMS), or other electronic means at the contact information you provide. Standard message and data rates may apply.

You may revoke this consent at any time by contacting us or our dealer partners directly, subject to the terms of any separate agreements you may enter into with dealer partners.

6. Lead Distribution and Dealer Partner Referral

When you submit a credit application through Pathway Credit:

1. Your application is evaluated and scored using our proprietary assessment model.
2. Based on your location, credit profile, and vehicle preferences, your application is shared with one or more qualified dealer partners.
3. These dealer partners may contact you to discuss financing options, vehicle availability, and next steps.
4. Your information may also be entered into our CRM system (Drive Loop) for tracking and follow-up purposes.

We make no guarantee that you will be approved for financing, that any particular dealer partner will contact you, or that any specific financing terms will be available to you.

7. Disclaimer of Warranties

Our Site and services are provided on an "as is" and "as available" basis. Pathway Credit makes no representations or warranties of any kind, express or implied, regarding:

• The accuracy, completeness, or reliability of any information on our Site
• The availability, performance, or security of our Site
• The suitability, availability, or terms of any financing offered by dealer partners
• Any specific outcome from using our services

To the fullest extent permitted by applicable law, Pathway Credit disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Pathway Credit, Ideasoft Inc., or their respective directors, officers, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to:

• Your use or inability to use our Site or services
• Any credit decision made by a dealer partner or lender
• Any communication you receive from a dealer partner or lender
• Any unauthorized access to or alteration of your information

Your sole remedy for dissatisfaction with our services is to discontinue your use of our Site.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pathway Credit, Ideasoft Inc., and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of our Site or services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any information you submit through our Site

10. Intellectual Property

All content on our Site, including text, graphics, logos, images, software, and the overall design and arrangement of the Site, is the property of Pathway Credit, Ideasoft Inc., or its licensors and is protected by Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our Site without our prior written consent.

11. Prohibited Conduct

You agree not to:

• Use our Site for any fraudulent or unlawful purpose
• Submit false, misleading, or inaccurate information
• Interfere with or disrupt the operation of our Site
• Attempt to gain unauthorized access to our systems or user accounts
• Use any automated means (bots, scrapers, etc.) to access or collect data from our Site
• Violate any applicable laws or regulations

12. Termination

We reserve the right to suspend or terminate your access to our Site or services at any time, without notice, for any reason, including if we believe you have violated these Terms or engaged in fraudulent or harmful conduct.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be resolved in the courts of the Province of Alberta.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Pathway Credit regarding your use of our Site and services, superseding any prior agreements or understandings.
